Overview & Acceptance
These Terms and Conditions ("Terms") govern the freight brokerage and logistics services that Humble3pl ("Humble," "we," "us") provides to its customers ("Customer," "you"). By tendering a shipment, booking a load, or otherwise using our services, you agree to these Terms. Where you and Humble have signed a separate written service agreement, that agreement controls to the extent it conflicts with these Terms.
Our Role as a Freight Broker
Humble acts as a licensed freight broker. We arrange for the transportation of freight by third-party motor carriers; we are not a motor carrier, do not take possession of freight, and do not physically transport goods. Our role is to source capacity, coordinate shipments and support you through the process.
The Carrier’s Role
The motor carrier selected to move your freight is solely responsible for the transportation, care, custody and delivery of the shipment. The carrier’s tariffs, rules and bill of lading terms apply to the actual movement of freight and, in the event of conflict, take precedence over these Terms with respect to the carrier’s obligations and cargo liability.
Customer Obligations
You are responsible for providing complete and accurate shipment information and for properly preparing your freight. This includes:
- Accurate weight, dimensions, freight class and commodity description.
- Proper packaging, palletizing, labeling and securing of freight.
- Correct pickup and delivery addresses, contacts and any required appointment details.
- Disclosure of any special handling, hazardous materials or accessorial needs.
Bill of Lading & Documentation
A bill of lading (BOL) is required for each shipment and should accurately reflect the freight tendered. The BOL and applicable carrier tariff govern the transportation. If required documents are missing or incomplete, you authorize Humble to prepare or complete them on your behalf, at your expense, to avoid delays.
Customer Warranties
You warrant that your shipments comply with all applicable federal, state and local laws and regulations, including customs, export and hazardous-materials rules, and that you have the authority to tender the freight for transport.
Rates & Charges
Rates are based on factors including origin and destination, weight, dimensions, freight class, service level, equipment and any accessorials. Quotes are estimates until the shipment is verified; final charges reflect the actual characteristics of the freight as determined by the carrier. Any rate dispute must be raised within the timeframe stated on your invoice.
LTL & Truckload Service
For less-than-truckload (LTL) shipments, charges are calculated from freight class, weight, dimensions and applicable accessorials. For truckload (TL) shipments, charges reflect the agreed lane rate and may include detention, layover, cancellation and other accessorial charges where applicable. Re-weighs and re-measures by the carrier may result in adjusted charges.
Guaranteed Transit Times
Standard transit times are estimates, not guarantees. Where a guaranteed service is purchased, the guarantee is subject to the selected carrier’s specific terms and conditions and may be void in the event of circumstances beyond the carrier’s control. Guarantee remedies, if any, are limited to those the carrier provides.
Right to Refuse & Delays
Humble and the carrier reserve the right to refuse any shipment at their discretion. Neither Humble nor the carrier is liable for delays caused by weather, road conditions, mechanical issues, force majeure, customs, or other events beyond reasonable control.
Cargo Claims & Limitation of Liability
Because Humble is a broker and not a carrier, cargo loss and damage liability rests with the motor carrier, subject to the carrier’s tariff and released-value limits and applicable law. Humble’s own liability, if any, is limited to the brokerage fee paid for the affected shipment. Claims for loss or damage must be filed within the time limits set by the carrier and applicable law.
Cargo Insurance
Carrier liability limits are often less than the full value of your freight. On request, Humble can help you obtain additional cargo coverage for a shipment. Premiums for such coverage are non-refundable, and any claim is subject to the terms and exclusions of the underlying policy.
Claims Assistance
While cargo liability rests with the carrier, Humble will assist you in filing and pursuing claims for loss or damage. To support a claim, retain the freight, note damage on the delivery receipt, and provide the requested documentation promptly.
Disclaimer of Warranties
Services are provided on an "as is" basis. Humble makes no warranties, express or implied, regarding delivery times, service outcomes or results, including any implied warranties of merchantability or fitness for a particular purpose.
Payment Terms
Payment is due according to the terms stated on your invoice. Key payment provisions include:
- Invoices reflect the actual characteristics of the shipment, not the initial estimate.
- Additional charges may apply where the actual freight differs from the bill of lading.
- Past-due balances may accrue a late charge of 1.5% per month or the maximum permitted by law.
- You may not withhold payment to Humble on the basis of a dispute with a carrier.
- You authorize Humble to bill the payment method on file for services rendered.
Indemnification
You agree to defend, indemnify and hold harmless Humble and its affiliates from any claims, losses, liabilities, damages, fines and expenses (including reasonable attorneys’ fees) arising out of your freight, your breach of these Terms, or your violation of any law or third-party right.
Governing Law & Venue
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or our services will be brought exclusively in the state or federal courts located in New Jersey, and the parties consent to their jurisdiction.
General Provisions
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with any signed service agreement and applicable carrier tariffs, constitute the entire agreement between the parties. In case of conflict, carrier tariffs govern the carrier’s obligations, and a signed service agreement governs over these general Terms.
Changes to These Terms
We may modify these Terms from time to time. We will revise the "Last updated" date above and post changes on our website. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
